**ARTIST DESIGN AGREEMENT**
This Artist Design Agreement (“Agreement”) is made and entered into by and between:

**RECITALS**
WHEREAS, the Artist is the creator of the original design(s) described in Exhibit A attached hereto (the “Design(s)”);
WHEREAS, Szymon Siwiec desires to recieve the rights to use the Design(s) for the purpose of creating and selling merchandise;
NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, the parties agree as follows:
**1. Grant of Rights**
1.1. The Artist hereby assigns, and transfers to Szymon Siwiec all rights, title, and interest in and to the Design(s) for use on merchandise, including but not limited to clothing, accessories, and other products (“Merchandise”).
1.2. This transfer includes the right to reproduce, distribute, and sell the Merchandise featuring the Design(s) worldwide.
1.3. The Artist agrees to deliver the final Design(s) in high-resolution digital format (e.g., .AI, .PSD, .PNG) to Szymon Siwiec no later than [Delivery Date].
1.4. The Design(s) shall be delivered via [Delivery Method, e.g., email, file transfer service].
**2. Warranties and Representations**
2.1. The Artist represents and warrants that:
– The Design(s) are original and created solely by the Artist.
– The Artist has the full right and authority to transfer the rights granted herein.
– The Design(s) do not infringe upon any copyright, trademark, or other intellectual property rights of any third party.
2.2. Szymon Siwiec represents and warrants that:
– The Design(s) will be used solely for the purpose of creating and selling Merchandise.
**3. Indemnification**
3.1. The Artist agrees to indemnify, defend, and hold harmless Szymon Siwiec from and against any and all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from any breach of the Artist’s warranties or representations under this Agreement.
3.2. Szymon Siwiec agrees to indemnify, defend, and hold harmless the Artist from and against any and all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from the use of the Design(s) on Merchandise.
**4. Term and Termination**
4.1. This Agreement shall commence on the date first written above and shall continue in perpetuity unless terminated earlier by mutual written consent of both parties.
4.2. Either party may terminate this Agreement if the other party breaches any material term or condition of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of the breach.
**5. Miscellaneous**
5.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [State/Country].
5.2. Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
5.3. Amendments: Any amendment or modification of this Agreement must be in writing and signed by both parties.
5.4. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
5.5. Waiver: The waiver by either party of any breach or default shall not constitute a waiver of any subsequent breach or default.
IN WITNESS WHEREOF, the parties hereto have executed this Artist Design Agreement as of the day and year first above written.
